These terms govern multi-site agency subscriptions of SquareSync for Woo. By purchasing an agency subscription you agree to these terms in addition to our standard Terms of Use.
An agency subscription provides a single pooled license key covering the number of site seats you purchase. The same key is installed on each client site, and seats can be freely reassigned between sites as your client roster changes.
Agency licensing exists so you can deploy SquareSync for Woo on sites you actively manage. It is not a reseller program: license keys, seats, and activations may not be sold, rented, sublicensed, or transferred to anyone as a product of their own.
Every activated site must belong to a client with whom you have an active, ongoing service relationship. When a client leaves your agency, their seat must be deactivated or the client must purchase their own license.
These Agency License Terms supplement our standard Terms of Use, which continue to apply in full to every agency subscription and every site on which the plugin is installed. Where these Agency License Terms conflict with the standard Terms of Use, these Agency License Terms prevail for agency accounts. All disclaimers in the standard terms — including those covering self-hosted software, data and backup responsibility, third-party services, limitation of liability, and governing law — apply equally to agency use and to each client site.
"Agency" means the business that purchases the agency subscription and holds the account. "Client Site" means a WordPress/WooCommerce website owned by a third party that the Agency actively manages under an ongoing service agreement, or a site the Agency owns itself. "Seat" means one site activation entitlement under the agency subscription. "Pooled License Key" means the single license key issued to the Agency, valid for concurrent activation on up to the number of Seats purchased.
Subject to payment of the applicable fees and compliance with these terms, we grant the Agency a limited, non-exclusive, non-transferable license to install and activate SquareSync for Woo on up to the purchased number of Seats, on Client Sites only, for the duration of the active subscription. The Agency must have the authority to install software on each Client Site and is responsible for ensuring each site's use of the plugin complies with these terms, the standard Terms of Use, and Square's and WooCommerce's own terms of service. All rights not expressly granted are reserved.
The agency license is NOT a reseller or distribution license. The Agency may not: (a) sell, resell, rent, lease, or offer license keys, Seats, or activations to any third party as a standalone product or line item; (b) sublicense the plugin or represent itself as an authorized reseller or distributor of SquareSync for Woo; (c) transfer the Pooled License Key to a client or any third party to manage independently; (d) list the plugin, license keys, or activations for sale on any marketplace; or (e) bundle the license in a way that gives a client possession or control of the key. The Agency MAY charge its clients for its own services — including installation, configuration, and management of the plugin as part of a broader service offering — provided the license itself remains held and managed by the Agency. License keys remain our property at all times. Violation of this section is a material breach and grounds for immediate termination without refund.
Each activated Seat must correspond to a Client Site the Agency actively manages. When a service relationship with a client ends, the Agency must within thirty (30) days either deactivate that site's Seat (which frees it for reuse) or direct the client to purchase their own license, in which case we will assist with migrating the site to a direct license. The Agency must not leave the Pooled License Key active on sites it no longer manages, and must not hand the key over to a departing client. We may periodically review activated domains and ask the Agency to confirm an active management relationship for any of them.
Each distinct activated domain consumes one Seat, enforced automatically by our licensing system. Seats can be reassigned at any time by deactivating one domain and activating another, at no charge. Agency subscriptions have a minimum of ten (10) Seats and are available up to one hundred (100) Seats; contact us for larger requirements. The Agency must not attempt to circumvent activation limits, share the key beyond its purchased Seats, or use technical means to serve multiple production websites from a single activation. If you need temporary staging or development activations, contact support and we will accommodate reasonable requests.
The Pooled License Key is confidential. The Agency must restrict knowledge of the key to personnel who need it, must not publish it, commit it to public repositories, or disclose it to clients or other third parties. If the Agency suspects the key has been exposed, it must notify us promptly at [email protected]. We may rotate a compromised key and will coordinate re-activation of legitimate sites with the Agency. Activity on all activations under the key is logged and attributed to the Agency's account.
Agency subscriptions are billed in advance via Stripe on an annual or two-year term, priced per Seat with volume discounts applied to the whole subscription based on total Seat count. Seat increases take effect immediately and are prorated for the remainder of the current term. Seat decreases (never below the 10-Seat minimum) apply as a proration credit per our payment processor's standard behavior; already-activated domains above a reduced Seat count must be deactivated by the Agency. Subscriptions renew automatically at the end of each term unless cancelled beforehand. Failed payments may result in suspension of the license — and sync functionality on all activated Client Sites — until payment is resolved. We may change agency pricing with at least thirty (30) days' notice before your renewal.
We provide support to the Agency's account holders via [email protected]. The Agency acts as the first line of support for its clients: end clients do not have a direct support relationship with us under an agency subscription, and we may redirect client inquiries to the Agency. The Agency is responsible for keeping the plugin reasonably up to date on Client Sites; updates are delivered through the standard WordPress update system on every activated site.
The Agency may present SquareSync for Woo to its clients as part of its service stack, but must not rebrand the plugin, remove or alter its name, license notices, or attribution, or represent the plugin as the Agency's own software, without our prior written consent. All intellectual property in the plugin remains ours as set out in the standard Terms of Use.
We may suspend or terminate an agency subscription immediately for material breach of these terms — including any resale, redistribution, or key-transfer violation — or for fraudulent activity, including fraudulent payment or chargeback abuse. On expiry, cancellation, or termination of the subscription, all activations under the Pooled License Key are deactivated and sync functionality stops on every activated Client Site (at the end of the paid period for ordinary cancellation, or immediately for termination for breach). The Agency is responsible for informing its clients of this consequence. Affected clients may purchase their own direct licenses at standard pricing to continue service. Termination for breach does not entitle the Agency to any refund.
The 14-day money-back guarantee in our standard Terms of Use applies to a new agency subscription's initial purchase, with one adjustment for agency accounts: approved refunds are issued NET OF PAYMENT PROCESSING FEES. Our payment processor does not return its transaction fees to us when a payment is refunded, and on agency-sized transactions these fees are substantial (typically 2-4% of the amount paid). The deducted amount will reflect only the actual non-recoverable fees we incurred on your original payment. Renewals and mid-term seat additions are not covered by the guarantee; cancel before your renewal date if you do not wish to continue. Other refund requests are evaluated case by case per the standard Terms of Use. Nothing in this section excludes or limits any refund right that cannot lawfully be excluded, and no fee is deducted from refunds we are required to provide by law.
